Terms of Service

Judic AI (“Judic,” “we,” “us,” or “our”) operates the Judic AI platform accessible at tryjudic.com (the “Platform”). The Platform provides AI-powered contract analysis, risk assessment, regulatory compliance checking, and related legal intelligence services, with a primary focus on Indonesian law and regulations.

Our services include, but are not limited to: automated contract review and risk scoring, compliance verification against Indonesian regulatory frameworks, AI-assisted chat for contract-related queries, document comparison, custom review playbooks, plain-language contract explanations, bilingual analysis (Bahasa Indonesia and English), and regulatory knowledge base access.

By creating an account, uploading documents, or otherwise accessing the Platform, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal capacity and authority to enter into these Terms.
• If acting on behalf of an organization, have the authority to bind that organization to these Terms.
• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access.

You are fully responsible for all activity that occurs under your account. We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion if we suspect fraudulent, abusive, or unauthorized activity.

Authentication is provided through our third-party authentication partner (Clerk). By registering, you also agree to their applicable terms of service. We do not store your passwords directly.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Acceptable uses include:

• Uploading contracts and legal documents that you own or have authorization to analyze.
• Using Analysis Outputs as a supplementary tool alongside professional legal judgment.
• Sharing analysis results with authorized parties within your organization.
• Using the regulatory knowledge base for legal research and reference purposes.
• Creating custom playbooks for your own contract review workflows.

You acknowledge that the quality of Analysis Outputs depends on the quality and completeness of the documents you upload. Incomplete, corrupted, or illegible documents may produce unreliable results.

You expressly agree not to:

• Upload documents containing malware, viruses, or code injection attempts.
• Attempt to extract, reverse-engineer, decompile, or disassemble our AI models, algorithms, or proprietary systems.
• Use the Platform to generate misleading legal advice, fraudulent documents, or deceptive content.
• Share, sell, or redistribute your account credentials to unauthorized third parties.
• Circumvent, disable, or interfere with rate limits, security features, or access controls.
• Scrape, crawl, or use automated means to access the Platform beyond authorized API usage.
• Upload documents that you do not have the legal right to analyze (e.g., documents obtained without consent or authorization).
• Attempt prompt injection, jailbreaking, or manipulation of our AI systems to produce unauthorized outputs.
• Use the Platform in violation of any applicable law or regulation, including but not limited to Indonesian law.
• Impersonate another person, entity, or misrepresent your affiliation with any entity.
• Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure.

Violation of these prohibitions may result in immediate account suspension or termination, without prior notice, and may also result in legal action.

Your Content

You retain full ownership of all User Content you upload to the Platform. By uploading User Content, you grant us a limited, non-exclusive, non-transferable license to process, analyze, and store your content solely for the purpose of providing our services to you. This license terminates when you delete your content or your account.

Analysis Outputs

Analysis Outputs generated by the Platform based on your User Content are provided to you for your use. You may use, copy, and distribute Analysis Outputs for your internal business purposes. However, Analysis Outputs may incorporate elements of our proprietary Knowledge Base, AI models, and analytical frameworks.

Our Platform

The Platform, including its source code, algorithms, AI models, Knowledge Base, user interface, design, trademarks, logos, and all associated intellectual property, are owned by Judic AI and protected by applicable Indonesian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited license to use the Platform as described herein.

Feedback

If you provide feedback, suggestions, or ideas regarding the Platform (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without obligation to you.

Re-analysis of previously uploaded documents does not count against your monthly document limit. Paid subscriptions are billed through our payment partner (Xendit) and may be paid via bank transfer, GoPay, OVO, DANA, QRIS, or other supported Indonesian payment methods.

Subscription fees are quoted in Indonesian Rupiah (IDR). All fees are non-refundable except as required by applicable Indonesian consumer protection law (UU No. 8/1999). We reserve the right to modify pricing with 30 days' prior written notice.

If payment fails or your subscription lapses, your account will be downgraded to the Free tier. Your existing documents and analysis results will remain accessible, but new uploads will be subject to Free tier limits.

We understand that your documents may contain confidential, proprietary, or legally privileged information. We implement the following safeguards:

• All documents are encrypted at rest and in transit using industry-standard encryption protocols.
• Access to your documents is strictly restricted to your account through enforced access controls — no other user can access your documents.
• Our employees and contractors do not access your documents unless required for technical support with your explicit consent.
• Document text is transmitted to our AI providers for analysis under strict data processing agreements, which prohibit use of your data for model training.

The Platform integrates with third-party services to provide its functionality. These include:

• AI analysis providers — Large language model providers for contract analysis, risk assessment, and chat functionality.
• Cloud infrastructure — Data storage, file hosting, and application delivery (Asia-Pacific region).
• Authentication provider — Secure user authentication and session management.
• Xendit — Payment processing for Indonesian payment methods (bank transfer, GoPay, OVO, DANA, QRIS).

Each third-party service operates under its own terms of service and privacy policy. While we select our partners carefully and require appropriate data processing agreements, we are not responsible for the acts or omissions of third-party service providers.

You agree to indemnify, defend, and hold harmless Judic AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or any Analysis Outputs.
• Your violation of these Terms or any applicable law or regulation.
• Your User Content or any claim that your User Content infringes the rights of a third party.
• Any decision made or action taken based on Analysis Outputs.
• Any unauthorized use of your account.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of Analysis Outputs.
• Any warranty that the Knowledge Base reflects the most current state of Indonesian law.

You use the Platform at your own risk and discretion. You are solely responsible for any damage to your computer system or loss of data resulting from your use of the Platform.

We strive to maintain high availability of the Platform but do not guarantee uninterrupted service. We reserve the right to:

• Perform scheduled and emergency maintenance that may temporarily affect service availability.
• Modify, update, or discontinue any feature or functionality of the Platform at any time.
• Adjust rate limits, processing capacities, or feature access based on system load and operational needs.
• Update our Knowledge Base, AI models, or analytical approaches to improve accuracy and performance.

For material changes that significantly reduce the functionality available to paid subscribers, we will provide at least 30 days' advance notice and offer a pro-rata refund for the unused portion of prepaid subscription fees where applicable.

Termination by You

You may terminate your account at any time through the Settings page. Upon termination, your documents and personal data will be scheduled for deletion and permanently removed within 30 days. You may export your data prior to account deletion using the data export feature in Settings.

Termination by Us

We may suspend or terminate your account immediately and without prior notice if:

• You violate these Terms or engage in prohibited activities.
• Your use of the Platform poses a security risk or may cause harm to other users or our systems.
• We are required to do so by law or regulation.
• Your account has been inactive for more than 12 consecutive months (Free tier only).

Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Indemnification, Limitation of Liability, Warranty Disclaimer, and Governing Law) shall survive.

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law principles.

Informal Resolution

Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting us at legal@tryjudic.com. We will endeavor to resolve the matter within 30 business days through good-faith negotiation.

Arbitration

If informal resolution fails, any dispute arising out of or in connection with these Terms shall be finally settled by arbitration administered by the Indonesian National Board of Arbitration (BANI) in Jakarta, Indonesia, in accordance with BANI's applicable arbitration rules. The language of the arbitration shall be Bahasa Indonesia or English, at the election of the claimant. The arbitration award shall be final and binding on both parties.

Jurisdiction

For matters not subject to arbitration, or where injunctive or equitable relief is sought, the courts of Jakarta, Indonesia shall have exclusive jurisdiction.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from causes beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, government actions, sanctions, embargoes, power failures, internet or telecommunications failures, cyberattacks, DDoS attacks, or failures of third-party service providers.

The affected party shall provide prompt written notice of the force majeure event and use commercially reasonable efforts to mitigate its effects. If a force majeure event continues for more than 60 consecutive days, either party may terminate the affected services upon written notice.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Judic AI regarding the Platform and supersede all prior or contemporaneous agreements, communications, and proposals.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Judic AI.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

Notices

We may provide notices to you via email to the address associated with your account, in-app notifications, or by posting on the Platform. You are responsible for keeping your contact information current. Notices to us should be sent to legal@tryjudic.com.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the “Last updated” date at the top of these Terms.
• Provide at least 30 days' advance notice via email or in-app notification before the changes take effect.
• For paid subscribers, provide the option to terminate their subscription if they do not agree with the changes.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Platform and delete your account.
